Terms of Use – Analyzera

These Terms of Use ("Terms") govern your access to and use of the Analyzera platform, including our web application, our API and our Model Context Protocol (MCP) server (together, the "Service"). The Service is provided by Analyzera ("we," "our," "us"). By creating an account, subscribing to a plan, or otherwise using the Service, you agree to these Terms.

1. Who These Terms Are Between

These Terms apply to you as an individual user. Where you use the Service on behalf of an organisation, you confirm that you are authorised to bind that organisation, and "you" means both you and that organisation.

Where your organisation has signed a separate written agreement with us covering the Service, that agreement governs and these Terms apply only to the extent they do not conflict with it.

2. Eligibility and Accounts

  • You must be at least 18 years old and legally capable of entering into a contract.
  • You must provide accurate registration details and keep them current.
  • You are responsible for your credentials and for everything done under your account. Tell us promptly if you believe it has been accessed without your authorisation.
  • Accounts are personal. Do not share credentials or let another person use your account.

Some accounts are provisioned by a financial institution or an advisor acting for you. In that case your access may also be subject to that institution's own terms, and it may be varied or withdrawn by them.

3. What the Service Is

Analyzera is a portfolio analysis and construction platform. Depending on the access you have been granted, the Service may include portfolio management and reporting tools, risk and performance analytics, strategy construction and backtesting, an AI assistant, and an MCP server that exposes a subset of these capabilities to third-party AI clients.

Features differ between plans and between institutions, and we may add, change or withdraw features over time. We aim to give reasonable notice before withdrawing a feature that you rely on materially.

4. Your Content and Data

You keep all rights in the portfolios, holdings, documents and other material you submit to the Service ("Your Content"). You grant us a limited licence to host, process and display Your Content for the purpose of operating the Service for you, and for no other purpose.

You are responsible for having the right to submit Your Content, including where it describes another person's holdings or personal circumstances.

How we handle personal data is described in our Privacy Policy and our Cookie Policy.

5. Investment Advice, and When the Service Gives It

A. The analytical tools are not advice

Analytics, screens, backtests, projections, scenario previews and AI assistant output are provided for information and analysis. They are not a personal recommendation, an offer, or a solicitation to buy or sell any financial instrument, and they do not take account of your objectives, financial situation or needs unless the Service expressly says otherwise. You remain responsible for your own investment decisions and for obtaining independent advice where you need it.

B. Where advice is given, it is regulated

Parts of the Service do provide personal recommendations, assessed for suitability under applicable law including MiFID II. Where that is the case, the Service says so on the surface giving the recommendation, and the recommendation is accompanied by a suitability assessment and the required disclosures. That activity is governed by the separate client agreement between you and the firm providing it, which sets out who is advising you and on what basis. These Terms do not vary it or limit any right you have under it.

C. Past performance and projections

Backtested and historical figures are not a guide to future returns. Projections and scenarios are modelled estimates under stated assumptions, not forecasts, and the value of investments can fall as well as rise. You may get back less than you invest.

6. AI-Generated Output

The Service uses artificial intelligence, including third-party language models, to generate explanations, summaries and suggestions. AI output can be incomplete or wrong, and it should be reviewed before it is relied on or passed to a client.

Where you use the MCP server with a third-party AI client, that client is operated by someone else under their own terms and privacy policy. What you send to it, and what it does with what we return, is outside our control.

7. Plans, Billing and Cancellation

  • Paid plans are billed in advance, monthly, through our payment processor. Prices are shown on the pricing page and exclude VAT where VAT is stated separately.
  • Subscriptions renew automatically at the end of each billing period until cancelled.
  • You may cancel at any time. Cancellation takes effect at the end of the billing period you have already paid for, and you keep access until then.
  • We do not generally refund part-used billing periods, except where a refund is required by law or where we have failed to provide the Service.
  • We may change prices on notice before the start of a renewal period. If you do not accept a change, you may cancel before it takes effect.

Card details are handled by our payment processor and are never stored on our systems.

8. Usage Limits and Fair Use

Plans carry limits on activity such as tool calls, strategy builds and backtests. Free plan limits are published on the pricing page. Paid plans are set well above normal individual use rather than to a published number, so that we can raise them without that reading as a promise about any particular figure.

We may apply rate limits, and may contact you about use that is materially beyond what a plan was designed for — including automated or resold access — before restricting it.

9. Acceptable Use

You agree not to:

  • Use the Service unlawfully, or in breach of financial services or market abuse rules.
  • Attempt to access another user's data, account or client records.
  • Probe, scan or test the security of the Service, or circumvent authentication, rate limits or plan entitlements.
  • Scrape, bulk-export or redistribute market data, strategy definitions or other content from the Service, or resell access to it.
  • Reverse engineer the Service, or use it to build a competing product, except to the extent this restriction is unenforceable by law.
  • Upload malware, or interfere with the operation or integrity of the Service.
  • Present output of the Service to a third party as independent advice where it is not.

10. Market Data and Third-Party Content

The Service displays market data, instrument reference data, benchmarks and documents sourced from third parties. That content remains theirs, may be subject to their own licence terms, and may be delayed, restated or withdrawn. We do not warrant its accuracy or completeness.

Where you connect an external account or an institution to the Service, you authorise us to retrieve the data that connection exposes, for the purpose of showing it to you and analysing it.

11. Intellectual Property

The Service, including its software, models, analytics, design and documentation, belongs to us or our licensors. Subject to these Terms and payment of any applicable fees, we grant you a non-exclusive, non-transferable, revocable right to use the Service for your own internal or personal purposes. Nothing else is granted, by implication or otherwise. Our names and logos may not be used without written permission.

12. Availability

We work to keep the Service available, but we do not guarantee uninterrupted access. Maintenance, third-party outages and faults will sometimes interrupt it. Unless we have separately agreed a service level with you in writing, the Service is provided on an "as available" basis.

13. Disclaimer of Warranties

To the fullest extent permitted by law, and except as expressly stated in these Terms, the Service is provided "as is" without warranties of any kind, whether express or implied, including fitness for a particular purpose and the accuracy or completeness of any analysis, figure or output. Nothing in these Terms excludes any right you have as a consumer that cannot be excluded by law.

14. Limitation of Liability

To the fullest extent permitted by law, we are not liable for investment losses, lost profits, lost opportunity, or indirect or consequential loss arising from your use of the Service. Our total liability in any twelve-month period is limited to the fees you paid us for the Service in that period.

Nothing in these Terms limits liability for death or personal injury caused by negligence, for fraud, or for any other liability that cannot be limited by law — including, where it applies, liability arising from the provision of regulated investment advice.

15. Suspension and Termination

You may stop using the Service and close your account at any time. We may suspend or terminate access where you materially breach these Terms, where we are required to by law or by a regulator, or where continued access presents a security risk. Where it is practical and lawful to do so, we will tell you why and give you a chance to put the breach right first.

On termination your right to use the Service ends. We retain records for as long as we are required to, including records of advice given, as described in our Privacy Policy.

16. Changes to These Terms

We may update these Terms. Updates are posted here with a revised Effective Date, and we will give reasonable notice of material changes. Continued use after a change takes effect means you accept it. If you do not, you may stop using the Service and cancel any paid plan.

17. Governing Law and Disputes

These Terms are governed by the laws of Sweden, and disputes are subject to the exclusive jurisdiction of the Swedish courts. If you are a consumer, this does not deprive you of the protection of the mandatory law of your country of residence, or of your right to bring proceedings there.
